1. Acceptance of Terms

By accessing the Go Online Now website, you agree to abide by these Terms and Conditions of Use, all applicable laws, and regulations. You acknowledge your responsibility for compliance with any local laws that may apply. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials on this website are protected by applicable copyright and trademark laws.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Go Online Now’s website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title. Under this license, you may not:

  • Modify or copy the materials.
  • Use the materials for any commercial purpose or for any public display (commercial or non-commercial).
  • Attempt to decompile or reverse engineer any software contained on Go Online Now’s website.
  • Remove any copyright or other proprietary notations from the materials.
  • Transfer the materials to another person or “mirror” the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by Go Online Now at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession, whether in electronic or printed format.

3. Disclaimer

The materials on Go Online Now’s website are provided “as is.” Go Online Now makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Go Online Now does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet website or otherwise relating to such materials or on any sites linked to this site.

4. Limitations of Liability

In no event shall Go Online Now or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit or due to business interruption) arising out of the use or inability to use the materials on Go Online Now’s website, even if Go Online Now or a Go Online Now authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

5. Revisions and Errata

The materials appearing on Go Online Now’s website could include technical, typographical, or photographic errors. Go Online Now does not warrant that any of the materials on its website are accurate, complete, or current. Go Online Now may make changes to the materials contained on its website at any time without notice. However, Go Online Now does not make any commitment to update the materials.

6. Links to Other Sites

Go Online Now has not reviewed all of the sites linked to its Internet website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Go Online Now of the site. Use of any such linked website is at the user’s own risk.

7. Site Terms of Use Modifications

Go Online Now may revise these terms of use for its website at any time without notice. By using this website, you are agreeing to be bound by the then current version of these Terms and Conditions of Use.

8. Governing Law

Any claim relating to Go Online Now’s website shall be governed by the laws of the Philippines without regard to its conflict of law provisions.

Terms & Conditions – Go Online Now

These terms and conditions apply to all website development/design services provided by Go Online Now to the Client.

1. Acceptance

It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote, the Client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full. Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.

2. Charges

Charges for services to be provided by Go Online Now are defined in the project quotation/proposal that the Client receives via email. Quotations/proposals are valid for a period of thirty (30) days. Go Online Now reserves the right to alter or decline to provide a quotation after the expiry of the thirty (30) days.
Unless agreed otherwise with the Client, all web design and web development services require an advance payment of a minimum of sixty percent (60%) of the project quotation total before the work is started on a project. The remaining forty percent (40%) of the project quotation total is due upon completion of the work, prior to upload to the server or release of materials. All graphic design, search engine marketing, content marketing, and social media services are to be paid in full upfront.
Bank details will be made available on invoices.

3. Client Review

Go Online Now will provide the Client with an opportunity to review the appearance and content of the website during the design phase and once the overall website development is completed. At the completion of the project, such materials will be deemed to be accepted and approved unless the Client notifies Go Online Now otherwise within ten (10) days of the date the materials are made available to the Client.

4. Turnaround Time and Content Control

Go Online Now will install and publicly post or supply the Client’s website by the date specified in the project proposal or at a date agreed upon with the Client upon Go Online Now receiving the initial payment unless a delay is specifically requested by the Client and agreed by Go Online Now.
In return, the Client agrees to delegate a single individual as a primary contact to aid Go Online Now with progressing the commission in a satisfactory and expedient manner.
During the project, Go Online Now will require the Client to provide website content; text, images, video, and sound files if required.

5. Failure to Provide Required Website Content

Go Online Now is a small business, to remain efficient we must ensure that work we have programmed is carried out at the scheduled time.
This is why we ask that you provide all the required information in advance. On any occasion where progress cannot be made with your website because we have not been given the required information in the agreed time frame and we are delayed as a result, we reserve the right to impose a surcharge of up to twenty-five percent (25%). If your project involves Search Engine Optimization, we need the text content for your site in advance so that the SEO can be planned and completed efficiently.
If you agree to provide us with the required information and subsequently fail to do within two (2) weeks of project commencement, we reserve the right to close the project, and the balance remaining becomes payable immediately. Simply put, all the above condition says is do not give us the go-ahead to start until you are ready to do so.
NOTE: Text content should be delivered as a Microsoft Word, email (or similar) document or Google Drive doc, with the pages in the supplied document representing the content of the relevant pages on your website. These pages should have the same titles as the agreed website pages. Contact us if you need clarification on this.

6. Payment

Final payment is required upon completion but before publishing the live website. Invoices are normally sent via email; however, the Client may choose to receive hard copy invoices. Invoices are due upon receipt. Accounts that remain unpaid thirty (30) days after the date of the invoice will be assessed a service charge in the amount of the higher of twenty percent (20%) per month of the total amount due.

7. Additional Expenses

The Client agrees to reimburse Go Online Now for any additional expenses necessary for the completion of the work. Examples would be the purchase of special fonts, stock photography, etc.

8. Web Browsers

Go Online Now makes every effort to ensure websites are designed to be viewed by the majority of visitors. Websites are designed to work with the most popular current browsers (e.g., Firefox, Internet Explorer, Google Chrome, etc.). The Client agrees that Go Online Now cannot guarantee correct functionality with all browser software across different operating systems.
Go Online Now cannot accept responsibility for web pages that do not display acceptably in new versions of browsers released after the website has been designed and handed over to the Client. As such, Go Online Now reserves the right to quote for any work involved in changing the website design or website code for it to work with updated browser software.

9. Default

Accounts unpaid thirty (30) days after the date of the invoice will be considered in default. If the Client in default maintains any information or files on Go Online Now Web space, Go Online Now will, at its discretion, remove all such material from its web space. Go Online Now is not responsible for any loss of data incurred due to the removal of the service. Removal of such material does not relieve the Client of the obligation to pay any outstanding charges assessed to the Client’s account. Clients with accounts in default agree to pay Go Online Now reasonable expenses, including legal fees and costs for collection by third-party agencies, incurred by Go Online Now in enforcing these Terms and Conditions.

10. Termination

Termination of services by the Client must be requested in a written notice and will be effective on receipt of such notice. E-mail or telephone requests for termination of services will not be honored until and unless confirmed in writing. The Client will be invoiced for design work completed to the date of the first notice of cancellation for payment in full within thirty (30) days.

11. Indemnity

Go Online Now services may be used for lawful purposes only. You agree to indemnify and hold Go Online Now harmless from any claims resulting from your use of our service that damages you or any other party.

12. Copyright

The Client retains the copyright to data, files, and graphic logos provided by the Client and grants Go Online Now the rights to publish and use such material. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party. The Client is further responsible for granting Go Online Now permission and rights for the use of the same and agrees to indemnify and hold harmless Go Online Now from any and all claims resulting from the Client’s negligence or inability to obtain proper copyright permissions. A contract for website design and/or placement shall be regarded as a guarantee by the Client to Go Online Now that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.

13. Standard Media Delivery

Unless otherwise specified in the project quotation, this Agreement assumes that any text will be provided by the Client in electronic format (text files delivered on disk or via e-mail or FTP) and that all photographs and other graphics will be provided physically in high-quality print suitable for scanning or electronically in .gif, .jpeg, .png, or .tiff format. Although every reasonable attempt shall be made by Go Online Now to return to the Client any images or printed material provided for use in the creation of the Client’s website, such return cannot be guaranteed.

14. Design Credit

A link to Go Online Now will appear in either small type or by a small graphic at the bottom of the Client’s website. If a graphic is used, it will be designed to fit in with the overall site design. The Client also agrees that the website developed for the Client may be presented in Go Online Now’s portfolio.

15. Access Requirements

If the Client’s website is to be installed on a third-party server, Go Online Now must be granted temporary read/write access to the Client’s storage directories, which must be accessible via FTP. Depending on the specific nature of the project, other resources might also need to be configured on the server.

16. Post-Placement Alterations

Go Online Now cannot accept responsibility for any alterations caused by a third party occurring to the Client’s pages once installed. Such alterations include, but are not limited to, additions, modifications, or deletions.

17. Domain Names

Go Online Now may purchase domain names on behalf of the Client. Payment and renewal of those domain names are the responsibility of the Client. The loss, cancellation, or otherwise of the domain brought about by non-payment or late payment is not the responsibility of Go Online Now. The Client should keep a record of the due dates for payment to ensure that payment is received in good time.

18. General

These Terms and Conditions supersede all previous representations, understandings, or agreements. The Client’s signature below or payment of an advance fee constitutes agreement to and acceptance of these Terms and Conditions.

19. Social Media Management

Social Media Marketing and Management are defined as helping a client to promote their products or services through social media channels. Go Online Now will honor the components of your chosen social media package, providing an agreement to a minimum three (3) months’ contract is served and monthly payments are received in advance. In the event that payment is not received on time, we regret that further work will be halted until this is rectified.

20. Governing Law

This Agreement shall be governed by The Laws of Philippines.
21. Liability
Go Online Now hereby excludes itself, its Employees, and/or Agents from all and any liability from:

  • Loss or damage caused by any inaccuracy;
  • Loss or damage caused by omission;
  • Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of the website;
  • Loss or damage to clients’ artwork/photos, supplied for the site. Immaterial whether the loss or damage results from negligence or otherwise.
    The entire liability of Go Online Now to the Client in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be limited to the charges paid for the Services under this Agreement in respect of which the breach has arisen.

22. Severability

In the event any one or more of the provisions of this Agreement shall be held to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall be unimpaired, and the Agreement shall not be void for this reason alone. Such invalid, illegal, or unenforceable provision shall be replaced by a mutually acceptable valid, legal, and enforceable provision, which comes closest to the intention of the parties underlying the invalid.

Refunds and Cancellations

Web Design Payments for custom design projects are made to us in increments as a courtesy to the client or a discounted upfront payment. Once a payment or deposit is made, it is non-refundable. If a project is canceled or postponed, all monies paid are retained by Go Online Now, and if applicable, a fee for all work completed beyond what was already paid for shall be paid by the client.

Web Development Payments for custom web development projects are made to us in increments as a courtesy to the client or a discounted upfront payment. Once a payment or deposit is made, it is non-refundable. If a project is canceled or postponed, all monies paid are retained by Go Online Now, and if applicable, a fee for all work completed beyond what was already paid for shall be paid by the client.

Search Engine Optimization, Internet Marketing, and Social Media Optimization Payments for Search Engine Optimization, Internet Marketing, and Social Media Optimization services are non-refundable, and Go Online Now does not issue pro-rata refunds for fees paid in advance. Once a payment or deposit is made, it is non-refundable. All Setup fees are non-refundable, as it is applied to costs immediately incurred by Go Online Now in initiating services. If a project is canceled or postponed, all monies paid are retained by Go Online Now, and if applicable, a fee for all work completed beyond what was already paid for shall be paid by the client.

Website Hosting Payments for past months of web hosting are non-refundable. Hosting accounts are set up at the time of order and are allotted a specific amount of server resources, according to the plan purchased. If the client did not make use of the account, payment for services is still due. Hosting accounts are not canceled until notice is received from the client in writing or until fifteen (15) days after the due date of payment not received. If the client paid for a hosting account for twelve (12) months ahead and cancels service before plan expiration date, the amount is non-refundable. Go Online Now reserves the right to disable and/or terminate a user’s account if a user is found in violation of the terms. Accounts terminated due to policy violations will not be refunded.

These Terms and Conditions are effective upon acceptance by the client, which can be indicated by the client’s signature or payment of an advance fee. The client and Go Online Now agree that these terms constitute a legally binding agreement between the two parties.

Virtual Assistance and Cold Calling Services

These terms and conditions apply to all virtual assistance and cold calling services provided by Go Online Now to the Client.

23. Acceptance

It is not necessary for the Client to have signed an acceptance of these terms and conditions for them to apply. If the Client accepts a quote or avails the services, the Client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full.

24. Services and Scope of Work

Go Online Now agrees to provide virtual assistance and cold calling services as described in the agreed-upon proposal or quote. The scope of work will be outlined in detail, including specific tasks, hours of service, and any other relevant details.

25. Charges and Payment

Charges for virtual assistance and cold calling services will be defined in the project quotation or proposal provided to the Client. The Client agrees to pay for the services as outlined in the quotation. Payment terms, including any advance payment requirements, will be specified in the proposal.
Invoices are due upon receipt. Accounts that remain unpaid after the due date specified in the invoice may be subject to a service charge or suspension of services.

26. Communication and Reporting

Go Online Now will maintain regular communication with the Client regarding the progress of tasks and activities. Reports detailing completed work, outcomes of cold calls, and other relevant information will be provided as agreed upon. The Client agrees to cooperate in providing necessary information and feedback for effective service delivery.

27. Confidentiality

Both parties agree to maintain the confidentiality of any sensitive information shared during the course of the virtual assistance and cold calling services. This includes, but is not limited to, business strategies, customer lists, and proprietary information.

28. Termination

Termination of virtual assistance and cold calling services by the Client must be requested in writing and will be effective upon receipt of such notice. Any fees for work completed up to the date of termination will be invoiced and are due within thirty (30) days.
Go Online Now reserves the right to terminate services with the Client in case of non-payment, breach of confidentiality, or any other violation of the agreed terms and conditions.

29. Indemnity

The Client agrees to indemnify and hold Go Online Now harmless from any claims or liabilities arising from the Client’s use of the virtual assistance and cold calling services.

30. Governing Law

This Agreement shall be governed by Philippine’s laws. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Philippine’s courts.
These Terms and Conditions are effective upon acceptance by the client, which can be indicated by the client’s signature, acceptance of a quote, or payment for the services. The client and Go Online Now agree that these terms constitute a legally binding agreement between the two parties.
